Experience
In the area of mergers and acquisitions, private equity, venture capital, family office and similar matters, Amanda has represented:
- Recognize Partners in its majority investment in Blue Mantis, a leading IT services provider
- Council Ring Capital as lead investor in a €616 million investment vehicle sponsored by DevCo for Medix Biochemica
- Tenex Capital Management in its investment in Rose Paving, a national provider of parking lot maintenance and rehabilitation solutions
- Tenex Capital Management in the sale of Wolf Home Products, a provider of kitchen and bath, outdoor living and building products, to PrimeSource Brands, a portfolio company of Clearlake Capital Group, L.P.
- CIP Capital and its portfolio company Compliance Solutions Strategies (CSS) in the sale of CSS to Confluence Technologies
- Xerox in connection with formation of CareAR Software Business and investment by ServiceNow
Amanda is a key member of Willkie’s activist practice. She has advised a number of prominent activist investors in several high-profile activist campaigns, including:
- Third Point LLC and Saddle Point Management L.P. in connection with the appointment of three independent directors to the board of Advance Auto Parts, Inc. and a related cooperation agreement with the company
- Choice Hotels International in its proxy contest with Wyndham Hotels & Resorts
- Barry Sternlicht in connection with his proxy contest at Cano Health, Inc.
- Sarissa Capital in connection with a proxy contest with Alkermes
- Third Point in connection with its activism activities at Bath & Body Works, Inc. (BBWI) that resulted in the appointment of several directors identified by Third Point to the board of BBWI
- Sarissa Capital in connection with its proxy fight in which it elected seven directors to the board of Amarin Corp plc, and secured the removal of the chair of Amarin’s board
- New Mountain Vantage in its proxy contest and settlement agreement with Virtusa Corporation
- Sarissa Capital in a settlement with Alkermes, pursuant to which Sarissa Capital was granted the right to designate a director to the company's Board of Directors
Amanda’s significant representations also include Ingram Micro Holding Corporation, a portfolio company of Platinum Equity, in connection with the corporate governance aspects of its $409 million initial public offering
