Willkie advised Third Point LLC on its support agreement with CoStar Group, Inc. (NASDAQ: CSGP), a leading provider of online real estate marketplaces, information and analytics, in connection with an overhaul of the company’s Board of Directors and a series of corporate governance enhancements to drive stockholder value.
On April 7, CoStar announced that it refreshed its Board of Directors, appointing a new chairman and three new independent directors, established a Board committee to undertake a comprehensive review of the company’s capital structure, capital allocation priorities and financial targets, and entered into support agreements with stockholders the D. E. Shaw Group and Third Point LLC.
Third Point LLC is an alternative investment firm founded by Daniel S. Loeb in 1995.
