Willkie partners Jeffrey Pawlitz and Weston Eguchi and associate James Burbage contributed a chapter to the newly released second edition of Navigating Today’s Environment | The Directors’ and Officers’ Guide to Restructuring, which examines key topics and challenges facing directors and officers leading distressed enterprises. Published by FTI Consulting, the book is a practical guide for corporate leaders and board members navigating restructurings, covering topics such as liquidity management, executive compensation, distressed M&A, special committee formation, among others.
The Willkie team’s chapter, “Who’s Who: An Introduction for Officers and Directors to the Typical Players in a Restructuring Transaction,” provides officers and directors with an important primer on the typical “players” involved in distressed company transactions, and addresses both “in-court” restructuring transactions (the most common being a Chapter 11 bankruptcy), as well as “out-of-court” restructuring transactions (including debt-for-equity exchanges, forbearances and refinancings).
