Mark A. Vandehaar is a partner in the Asset Management Department and Co-Chair of the Family Office Practice. Mark represents a variety of investment advisers, hedge funds and other private funds, family offices and insurance companies. He focuses on advising private fund managers and family offices in connection with complex corporate transactions as well as on structuring and operational matters. Mark also has extensive experience advising insurance companies on asset management related matters including investments by private equity firms in insurance companies.
Mark regularly represents some of the most prominent hedge fund sponsors as well as a broad range of other investment management clients in connection with all aspects of their business from fundraising to ongoing investment operations to matters of SEC and CFTC registration and regulatory compliance. He also often represents institutional investors in the acquisition of positions in all types of private funds and the negotiation of seed capital and revenue sharing arrangements as well as joint ventures. Mark has represented numerous fund managers in connection with the establishment of management companies, negotiations among founders and the successful transition of sponsors from founders to successors.

Mark has recently represented:
- The newly organized sponsor to credit-focused hedge funds on the successful launch of the funds at over $1.2 billion in initial capital, including negotiations with the seed capital provider and initial investors, registration of the adviser and a revenue sharing arrangement
- A newly organized hedge fund sponsor on the successful launch of a fundamental, long / short fund, and related revenue sharing and seed capital arrangements
- An established private equity fund sponsor with over $30 billion in AUM with the launch of its first open-ended hedge fund and related management company issues related to the expansion of its business
- An institutional investor in connection with an initial seed investment of $500 million into newly formed hedge funds and the acquisition of a minority stake in the management company
- The founder of a private fund sponsor in connection with the transition of his business to the next generation
- The co-founder of a credit fund in connection with the negotiated buy-out of his stake in the firm
- A private equity firm in connection with its acquisition of a 50% ownership interest in an investment adviser to hedge and MBS funds
