Scott Thompson is a partner in the Executive Compensation & Employee Benefits Department. He has significant experience advising public and private companies and partnerships, boards of directors, board committees and management teams regarding complex equity and incentive compensation arrangements as well as executive compensation and employee benefits matters more generally.
He has significant experience in designing equity compensation plans, performance bonus plans, deferred compensation plans, and various other types of incentive plans and arrangements. He also advises on the tax, securities, and corporate law issues arising from the establishment and administration of such plans, including any related public company reporting and disclosures.
Scott regularly represents both corporations and partnerships in complex negotiations, including in negotiations of partnership agreements and in connection with large change in control transactions (including M&A transactions, restructurings and reorganizations, asset sales, and financings). He also has extensive experience in designing, negotiating, drafting and implementing carefully tailored plans, programs and policies for compensating, attracting and retaining key executives, employees, partners and board members, including employment, severance, retention, change-in-control, deferred compensation, and equity plans and agreements.
He also regularly represents employers and individual executives in negotiating high-stakes executive employment and separation agreements.
