Susan Rabinowitz is a partner at Willkie, where she is a member of the Corporate and Financial Services Department and Capital Markets practice. Susan maintains a broad transactional practice, focusing on capital markets transactions, strategic transactions and general corporate counseling. 

Susan represents corporate issuers and investment banks in a wide range of capital markets transactions in the U.S. and international markets, including initial public and follow-on equity offerings, preferred stock offerings, public and private investment grade, high-yield and convertible debt offerings and liability management transactions. Her capital markets practice spans a variety of industries, with particular experience in the banking and financial services sector. She works with financial institutions in connection with a range of financing transactions, including U.S. and non-U.S. offerings of securities as well as medium term note and other continuous offering programs. In addition, Susan provides continuing counsel to public company clients on corporate governance, securities law and exchange compliance and general corporate matters.

Susan’s transactional practice also includes representing companies in mergers and acquisitions, private equity investments, joint ventures and other strategic transactions. She advises clients on infrastructure investment and energy-related transactions in the renewable energy sector, including acquisitions, co-investments and joint ventures involving renewable energy assets. 

Susan’s legal practice is enriched by her extensive business experience, which includes senior roles in the alternative investments industry, enabling her to provide true strategic advice to clients and deliver effective legal solutions that are infused with a practical commercial perspective. 

 

Experience

Susan previously practiced in the Corporate and Securities group at another major Chicago law firm. Prior returning to the practice of law, she held several senior investment roles in the alternative investment industry, including as Managing Director, Investments at a private real estate investment firm, Director – Investments, Portfolio Manager at a leading fund of hedge funds and Vice President, Investments at a long/short equity hedge fund.
