
John Bain is a partner in Willkie’s Real Estate Department. He is based in the Firm’s Dallas office.
John’s practice is focused on representing purchasers, sellers, lenders, landlords and tenants in a variety of real estate and real estate finance transactions. He is particularly experienced in advising clients in the hotel, resort and leisure property sector in transactions including purchases, sales, financings, refinancings and debt restructurings.
John also advises clients on the management and leasing of office buildings, multifamily projects, restaurants, industrial properties, manufacturing facilities and raw land.

- Represented Stonebridge Companies, a leading hotel owner-operator, in its acquisition of Real Hospitality Group, a third-party management platform.
- Represented a commercial finance company in a financing for the acquisition of a ski resort. The financing consisted of a $125 million term loan and $30 million revolver.
- Represented Cornerstone Chemical Company in connection with a ground lease for the development of a $500 million chemical plant to be constructed and operated on a portion of Cornerstone’s campus located in Jefferson Parish, Louisiana.
- Represented a private joint venture in its acquisition of the Renaissance Dallas at Plano Legacy West Hotel, together with the assumption of existing CMBS and mezzanine loans.
- Represented a hospitality REIT headquartered in Plano, Texas, in connection with a $257 million mortgage loan secured by a multi-state portfolio of branded hotels.
- Represented a private equity firm in the purchase of 38 Hyatt-branded hotels across 21 states, and its affiliated hospitality trust in the completion of a $500 million initial public offering in Singapore—the first real estate investment trust listed in Singapore with a power play U.S. upscale select service hospitality portfolio.
- Represented Civitas Capital Group in the sale of a Dallas Arts District office building, for a reported $240 million. This transaction was selected as a finalist for Dallas Business Journal’s Best Real Estate Deals of the Year.
- Represented Bleecker Partners, LLC in connection with the acquisition of a 12 property industrial portfolio located in Dallas, Texas, including multiple acquisition loans and a third party property management arrangement.
- Represented Children’s Health System of Texas in its acquisition of 70 acres of land in Prosper, Texas, for the development of a hospital campus.
- Represented a privately held hospitality REIT, with offices in Las Colinas, Texas, in connection with its multi-billion dollar multi-state hotel disposition program.
- Represented a family office client in the refinancing of a senior mortgage loan and mezzanine loan, refinancing of sponsor loan and issuance of preferred equity in connection with the recapitalization and relaunch of the AC Ocean Walk Resort in Atlantic City.
- Represented a family office in the development of multiple PINSTACK family entertainment facilities through a variety of structures.
- Represented a private joint venture in its acquisition of seven logistics centers leased by FedEx, totaling over 2.3 million square feet across seven states.
