On September 6, Willkie client CommerceHub, an industry-leading commerce network and portfolio company of Insight Partners, announced that it entered into a definitive agreement to acquire the outstanding shares of ChannelAdvisor Corporation, a leading provider of cloud-based e-commerce solutions.
Under the terms of the agreement, ChannelAdvisor stockholders will receive $23.10 per share in cash. Upon completion of the transaction, ChannelAdvisor will become a privately held company.
The transaction is being led by Insight Partners, with GTCR, Sycamore Partners and others also participating in the deal.
CommerceHub is a Software as a Service (SaaS) provider with a commerce network connecting the world's leading retailers and brands with drop ship, marketplace, and delivery solutions.
The Willkie team was led by partners Matthew Guercio and Erin Kinney, and included partner Rose Ohanesian and associates Jenae Moxie and Steven Mercadante.
