Willkie advised the Special Committee of the Board of Directors of Blockcap in connection with the transaction.
On July 30, Core Scientific Holding Co. consummated its acquisition of Blockcap, Inc., a leading blockchain technology company with industrial scale digital asset mining operations. The transaction was structured as a stock-for-stock transaction pursuant to which stockholders of Blockcap received shares in Core Scientific in accordance with an exchange ratio. Willkie advised the Special Committee of the Board of Directors of Blockcap in connection with the transaction.
