Willkie represented global investment management firm Victory Capital in its deal to acquire Harvest Volatility, one of the world’s leading derivative asset management firms, with approximately $12 billion in assets under management (as of 7/31/18).

On September 24, Willkie client Victory Capital (NASDAQ:VCTR), a global investment management firm, announced that it has entered into a definitive purchase agreement to acquire Harvest Volatility Management, LLC, one of the world’s leading derivative asset management firms. Harvest, which had approximately $12 billion in assets under management (AUM) as of July 31, 2018 specializes in yield enhancement overlay, risk reduction, alternative beta and absolute return investment strategies.

Victory Capital operates a next-generation, integrated multi-boutique business. Based on AUM for both firms as of July 31, 2018, Victory Capital would on the closing of the transaction have approximately $75 billion in firm-wide AUM. This includes approximately $16 billion, or 21% of total AUM, in its Solutions Platform strategies.

Willkie previously advised Victory Capital on its acquisitions of RS Investments, Compass EMP and Munder Capital Management, in addition to its 2018 initial public offering.

The Willkie deal team on the current transaction was led by partner David Boston and included partners Jeffrey Goldfarb, Jordan Messinger and James Silk and associates Jonathan Kubek and Jennifer Kim.
