Willkie serves as legal counsel to Peter J. Solomon Company, financial advisor to Tween Brands.

On June 25, Dress Barn, Inc. and Tween Brands, Inc. announced that they have entered into a definitive agreement pursuant to which a subsidiary of Dress Barn, Inc. will merge with Tween Brands, Inc. in a stock-for-stock transaction valued at approximately $320 million, including debt. Willkie served as legal counsel to Peter J. Solomon Company, financial advisor to Tween Brands. Under the terms of the merger agreement, each share of Tween Brands common stock will be exchanged for 0.47 shares of Dress Barn common stock. Headquartered in New Albany, Ohio, Tween Brands is the world’s largest premier tween specialty retailer. Dress Barn is a leading national specialty apparel retailer offering career and casual fashion apparel through its 841 Dress Barn stores in 47 states and 716 Maurices stores in 44 states. The deal was handled by partners Steven Seidman and Laura Delanoy and associate Sean Ewen.
