Willkie client National Energy & Gas Transmission Inc. agrees to sell its Gas Transmission Northwest Corp. and North Baja pipelines to Calgary, Alberta-based, natural gas transporter TransCanada Corp. for $1.7 billion.

On February 25, it was announced that Willkie client bankrupt Bethesda, Md., power and natural gas supplier National Energy & Gas Transmission Inc. agreed to sell its Gas Transmission Northwest Corp. and North Baja pipelines to Calgary, Alberta-based, natural gas transporter TransCanada Corp. for $1.7 billion. The purchase price includes $500 million of assumed debt and is said to be consistent with recent pipeline acquisitions. The February 27 Daily Deal highlights Willkie’s role in the transaction. Willkie attorneys on the deal included partners Matthew Feldman, William Gump, Jeffrey Poss, Richard Reinhold, Paul Shalhoub, and Jeffrey Van Hove, and associates Kristina Beckmann, Joshua Foster, and Robin Spigel.
