Willkie Chairman Jack H. Nusbaum and partner Serge Benchetrit contribute to a series of proposals recently published by France’s Institut Montaigne on improving corporate governance in France. Through think tanks, task forces and conferences, Institut Montaigne brings together business leaders and academics, among others, to discuss and develop lasting solutions to a wide array of problems and issues of the day.

Willkie Chairman Jack H. Nusbaum and partner Serge Benchetrit contributed to a series of proposals recently published by France’s Institut Montaigne on improving corporate governance in France. Through think tanks, task forces and conferences, Institut Montaigne brings together business leaders and academics, among others, to discuss and develop lasting solutions to a wide array of problems and issues of the day. In its publication entitled Mieux gouverner l’entreprise, Institut Montaigne consulted leading corporate managers, bankers, lawyers and consultants on twenty-two proposals designed to complement the recommendations issued by the Vienot and Bouton reports with respect to corporate governance reform in France. The publication specifically covers issues relating to shareholders, directors, managers and financial information. Further, the proposals suggest that A Code of Best Practices (Code de Gouvernement d’Entreprise de la place de Paris) should be defined and endorsed by all players of the Paris financial markets, including issuers, investors, stock exchanges and regulators. Mr. Nusbaum, who contributed to the report in his capacity as a member of the Institut, is a partner in Willkie’s Corporate and Financial Services Department in New York and serves as Chairman of the firm. He specializes in mergers and acquisitions, corporate governance and fiduciary duties, and internal investigations. Mr. Benchetrit, who was asked to comment on the Institut’s report, is also a corporate partner in New York, concentrating on mergers and acquisitions, securities offerings, corporate finance, restructuring, private placement and private equity.
