On February 20, Brussels partner Xavier Dieux addressed the Flemish "Institute for Directors" on the subject of directors' liability. Over the past few years, the Institute has taken the lead on corporate governance reform in Belgium. Mr. Dieux focused on the recent evolution of board member liability and reviewed the various proposals currently under consideration by the legislator. He also addressed the "return to the shareholder," an insightful discussion on the trend for “functional dualism,” a concept which entails the formalizing of the role of executive committees in Belgian corporations. Mr. Dieux is a partner in the Corporate and Financial Services Department in Willkie’s Brussels office specializing in banking regulation, securities, corporate finance, and public offerings.
