On Thursday, November 9, partner Misty Sanford will give a presentation titled “Real Estate Purchase Agreement: Pitfalls to Avoid.” The presentation will include a discussion of strategies for identifying and negotiating the following topics that can be missed by even the most sophisticated buyers and sellers: (a) unintentionally vitiating seller’s implied warranties in a deed, (b) appropriate (and inappropriate) carve-outs from seller’s waiver of liability, (c) the interplay between reps, warranties, and buyer’s conditions to closing, (d) liquidated damages, and (e) when sole discretion is not sole discretion.
