On December 9, Willkie partners William Gump and William Stellmach and associate Kristin Bender hosted a webinar entitled SPACs (Special Purpose Acquisition Companies): Risks and Enforcement Trends. In this webinar, the speakers discussed what SPACs were and how they worked, their meteoric rise in the IPO and M&A markets, and the enforcement and litigation risks they posed. Drawing on a spate of recent commentary by the SEC, the presenters discussed the regulatory implications of features inherent to SPACs: risk disclosures, expedited timelines, and sponsor economics and incentives. The presenters also explored strategic risk mitigation in the SPAC space in light of prior enforcement actions and private disputes, as well as the evolving regulatory landscape of a new Administration.
